Terms and Conditions of Use

Introduction

Welcome to Where To Get Engaged (“WTGE”), a directory services, retail, and social networking site, connecting you with your friends and family. This site is owned and operated by Where To Get Engaged, Inc., and/or its subsidiaries and affiliates. By accessing or using the services provided on this site you hereby agree to the following terms. Before you may become a registered member of this site, you must read and accept all of the terms and conditions set forth below.

Membership Requirements

Member identity is an integral part of the WTGE community. WTGE respects each member’s identity and in turn expects each member to respect the identity of all other members to this site. By your usage of this site you acknowledge that: you are at least 18 years of age; you have provided us with valid and complete contact information, including a valid email address; and you agree not to publish member contact information or any other information found on this site in a public domain. You also agree that you will not interfere in any way with the proper functioning of this site; that the use of profanity, or other offensive language will not be tolerated; and that solicitations, other than those offered by vendors or advertisers on the site, of any kind are strictly prohibited. The retail components of this site are intended for the benefit of our individual members, their families and friends. The wholesaling of goods and/or services on this site is strictly prohibited. You further agree that WTGE may suspend or terminate your account and use of this site, if, in its sole discretion it determines that you have violated any of the terms provided hereunder, and/or any amendments to such terms, or otherwise fail to meet the qualifications for membership.

Liability

You agree not to hold WTGE responsible for the content posted by vendors, other members or advertisers on this site. You acknowledge that WTGE is not involved in the actual transactions between members and vendors/advertisers, and you acknowledge that WTGE does not control or in any way represent or warrant the quality of the items purchased under those transactions, or that such items are fit for any particular purpose. You also understand and agree that vendor, advertiser, and user dashboards are provided to facilitate ease of navigation of this site and WTGE assumes no liability for the failure to store or maintain any user content, communications or personal settings. WTGE takes reasonable steps to ensure the information it presents on the site is accurate. However, much of the information posted on this site is posted by or obtained from third parties, and therefore WTGE has no control over the accuracy of such information, makes no warranty or guarantee as to the accuracy of any such information, and assumes no responsibility for any resulting loss or damage from your reliance on any such information. You agree that in the event WTGE suspends or terminates your account and/or site usage, it will purge your member account and any material information associated with your member account (including your user name, password, registry and profile). You acknowledge and agree that WTGE shall not be liable to you or any other party for the termination of, or access to your account or the purging of any material.

Intellectual Property Protections

All names, logos, and/or phrases published on this site by WTGE are protected by trademark and/or copyright laws and are the sole and exclusive property of WTGE, or its vendors/advertisers. The mark "W here To Get Engaged" and the contents of this site are the sole and exclusive property of WTGE, Inc., its subsidiaries and affiliates. Reproduction in whole or in part is strictly prohibited unless expressly authorized in writing by WTGE. In addition, all script posted on this site in our non-editable pages is the copyrighted property of WTGE, and is protected as such, and may not be reproduced without our written permission, with the exception of downloading or printing a single copy for your own personal use. This copyright extends from original WTGE material, to the raw compilations of posts on Message Boards or Blogs, to any edited and filtered compilations of posts that we may sell and distribute. The right to download and store or output the materials found on WTGE is granted for viewing use only. Materials may not be reproduced in any form. Any reproduction or editing by any means mechanical or electronic without the express written consent of WTGE is strictly prohibited. WTGE reserves the right to re-publish any text material contributed by our users in the “Community” section of the site, or contributed as a blog. WTGE will not re-publish pictures, videos, or images posted by you, without first obtaining your written permission to do so. No such material will be used by WTGE for sale or solicitation to others. By posting a message, a user expressly grants WTGE the right to re-publish the message as part of any edited compilation, such as an engagement story. Material that is copyright protected may not be submitted without permission from the copyright owner. Since there are many thousands of possible sources spread out across the Internet, it is impossible for us at WTGE to know if a posting represents a copyright infringement. You are responsible for the material you submit to WTGE, including matters of taste, reliability, originality and copyright protection. Users may be held legally responsible for copyright infringement, defamation or invasion of privacy, as well as any damages arising from those actions resulting from materials submitted and posted on this site. Each user is therefore cautioned to ensure the source of each submission and shall assume responsibility for any message or posting that may violate the rights of others, whether knowingly, or otherwise.

Forum Use

Both WTGE and users will publish content to the forum. While WTGE controls the content it provides, it is not able to edit or ensure the accuracy of the content generated by our users, and assumes no responsibility for such content. Therefore, users of WTGE should handle the information generated by fellow users with caution and common sense. Any advice or suggestions posted on WTGE user boards should be considered by you as a starting point for your own verification and research. WTGE cannot guarantee the accuracy, efficacy, or veracity of any information provided within the WTGE Community Forum. WTGE is concerned about the safety and privacy of all its users. Please remember that Message Boards are designed to inform, educate, and entertain members, and as a result attract a diverse audience. It is the responsibility of members to determine whether any parts of our forum are appropriate for other members of their family. Online behavior requires common sense and common courtesy. As a user of this site, you agree to the following requirements:

• No strong, vulgar, obscene, or otherwise harmful language.
• No racially, ethnically or otherwise, objectionable language.
• No harassing, intimidating, stalking, or threatening other community members.
• No libelous, defamatory, or otherwise tortious language.
• No falsely identifying yourself, or any person, including, but not limited to, other
• community members or employees of WTGE.
• No posting, distributing, transmitting, or promoting illegal content, including any
• content of a pornographic or obscene nature.
• No invasion of another's privacy.
• No actions that may be considered harmful to minors.
• No manipulation or forging of identifiers in order to disguise the origin of any
• information posted on WTGE site or otherwise provided to WTGE or its
• employees.
• No posting, providing, transmitting, or otherwise making available any information
• (such as inside, proprietary or confidential information) that you do not have a
• right to make available due to contract, fiduciary duty, or operation of law.
• No posting, providing, transmitting, or otherwise making available any junk mail
• or spam.
• No posting, uploading, emailing, or otherwise transmitting any material that
• contains any malicious computer code (including spyware, worms, Trojan horses,
• viruses, etc.).
• No posting, providing, transmitting, or otherwise making available any information
• which violates regulations promulgated by the Securities and Exchange
• Commission, or that of any securities exchange.
• No collecting, storing, or posting of personal data concerning other community
• members.
• No soliciting of any kind on the message boards.

Violation of any of these requirements may result in immediate suspension or termination of user’s account and/or use of this site.

Listings

The vendor listings provided herein are in no way recommended, endorsed, or otherwise suggested by WTGE. You, as the consumer, are strongly encouraged to carefully research the business practices of chosen vendors to ensure that their products and/or services will meet with your satisfaction. WTGE makes no warranties of any kind with respect to such information, products, or services, and assumes no responsibility for any transactions undertaken between user and vendor hereunder. In the event a dispute should arise, vendor agrees that it will indemnify and hold WTGE harmless from any and all damages arising therefrom, including WTGE’s reasonable attorney fees and costs. All vendors listing on this site warrant that they, or the company they represent is engaged in the retail sale of goods and/or services and accept membership under the foregoing terms. Vendors agree that WTGE may send pertinent information via electronic mail and/or post mail regarding the website from time to time, including notices of website changes, upgrades, or special offers. Furthermore, WTGE reserves the right to modify and/or update any portion of the website, including, but not limited to, layout of advertised listing and/or revision of package offerings ensuring that the overall service provided will still be comparable in value to those initially contracted. Membership to the website can be canceled at anytime by notice in writing to WTGE.

Release

If a dispute should arise between you and a vendor/advertiser on this site, you release WTGE, its officers, directors, employees and agents from any and all claims related thereto, of every kind and nature. If, contrary to your agreement hereunder, you claim damages from WTGE resulting from your dispute or disagreement with a vendor/advertiser on this site, you agree to reimburse our reasonable attorney’s fees and costs incurred in defending such claims.

Indemnity

Member agrees to indemnify WTGE, its officers, directors, employees, and agents, and hold us harmless from any and all claims and demands, including our reasonable attorney’s fees and costs, made by a third party arising from your breach of these Terms of Use, or any violation of law or interference with the rights of others.

Access and Interference

The use of any robot, spider, or other automated means to access or navigate this site is prohibited without the express written consent of WTGE. You agree that you will not take any action on this site that will or may impose an unreasonably large load on site infrastructure.

Dispute Resolution

Should a dispute arise between you and WTGE, every effort will be made to provide you with a neutral and cost effective means of resolving the dispute in a timely manner. We always encourage you to first contact us directly at tou@wheretogetengaged.com for resolution of such matters. In the event the dispute cannot be resolved informally, WTGE will consider requests to resolve disputes through an alternate dispute resolution forum such as mediation or arbitration. If the dispute has not been resolved through any of these means you agree to the following:

Applicable Law and Court Jurisdiction:

This Agreement shall be governed in all respects by the laws of the Commonwealth of Virginia, without regard to any conflict of law provisions. You agree that any and all legal or equitable claims made against WTGE in a court proceeding will be made and resolved by a court located in Rockingham County, Virginia, unless otherwise agreed by the parties in writing prior to the commencement of such action.

Arbitration:

For any claim, for money damages, where the total award sought to be recovered is less than $ 5,000, the party seeking such damages may request that the dispute be resolved through binding arbitration that does not require the physical attendance of the parties, such process to be conducted by telephone, on-line, or by written submissions, with the specific manner to be chosen by the party initiating such action. It is the responsibility of the claimant to initiate the process by contacting a mutually agreed alternate dispute resolution provider, whose award will be binding on the parties and may be entered in any court of competent jurisdiction.

Failure to Properly File Claims:

All claims made against WTGE must be resolved under the terms set forth above. Any claim made contrary to these provisions will be considered improperly filed. In the event WTGE notifies you in writing that your claim has been improperly filed, and you fail to withdraw the claim, you agree to reimburse WTGE for any attorney’s fees and costs incurred not to exceed $ 1,000.

Privacy

WTGE does not sell or lease any personal information you provide to third parties for their marketing or other purposes without your consent. Your privacy as a user of this site is very important to us, and your information will only be used in the manner described under our Privacy Policy. For a complete description please access that policy. If you object to the use of your information as outlined, please do not use these services.

Notices

Unless otherwise stated, all legal notices shall be in writing, and served on WTGE’s registered agent. You agree that WTGE may send any such notices to you to the email address provided by you in the registration process. Alternatively, we may send notice to you by mail to the mailing address you provided at the time of registration.

General

Where To Get Engaged is located in the Shenandoah Valley. You can contact us online or by mail at P.O. Box 215, Weyers Cave, Virginia 24486. This Agreement is believed to be in conformance with all local, state, and federal laws of the United States of America. In the event any provision of this Agreement is determined to be invalid or unenforceable, such provision shall be stricken and the remaining provisions above stated shall be enforced. Headings are for ease of reference only and are not intended to limit the scope or extent of the provisions stated thereunder. Any failure to act hereunder with respect to any breach or violation of the terms of this Agreement, does not waive the right of WTGE to act in the future with regard to subsequent or similar violations. This Agreement may be amended at any time by the posting of amended terms on this site. Material amendments, unless otherwise stated, shall become effective on the 31st day after their initial posting. This Agreement sets forth the entire agreement between us with respect to the subject matter addressed.
